1. Definitions

For purposes of these Terms & Conditions:

  • "Services" refers to legal services provided by Trillium, including business registration, real estate closings, and small business advisory
  • "Client" or "You" refers to any individual or entity engaging our services or using our website
  • "Agreement" refers to the retainer agreement or engagement letter between Trillium and the client
  • "Website" refers to trilliumym.live and all associated pages
  • "We," "Us," or "Our" refers to Trillium and its lawyers and staff

2. Use of Legal Services

2.1 Retainer Agreement

Before we begin providing legal services, we will provide you with a retainer agreement or engagement letter outlining the scope of our services, fees, and your responsibilities. Our professional relationship commences when you sign this agreement and provide any required retainer payment.

2.2 Eligibility

You must be at least 18 years old or the age of majority in your province to retain our services. By engaging our services, you represent that you meet this requirement and have the authority to enter into this agreement.

2.3 Accuracy of Information

You agree to provide accurate, complete, and current information when engaging our services. You are responsible for updating us promptly about any changes to the information you have provided. Inaccurate information may affect our ability to represent you effectively.

2.4 Client Responsibilities

As our client, you agree to cooperate with us in good faith, respond to our requests for information in a timely manner, provide necessary documentation, and make decisions about your matter when required. You are responsible for reviewing documents we prepare and notifying us of any concerns or questions.

3. Prohibited Uses

You may not use our services or website to:

  • Violate any applicable laws or regulations
  • Infringe on intellectual property rights of others
  • Transmit harmful code, viruses, or malicious software
  • Attempt unauthorized access to our systems or other users' accounts
  • Engage in fraudulent activities or misrepresentation
  • Harass, abuse, or harm others
  • Use automated systems to access our website without permission
  • Collect or harvest information about other users

4. Intellectual Property

4.1 Our Content

All content on our website, including text, graphics, logos, and software, is owned by or licensed to Trillium and protected by Canadian and international copyright laws. You may view and print content for personal use but may not reproduce, distribute, or create derivative works without our written permission.

4.2 Client Documents

Documents we prepare for you remain subject to our copyright, but you receive a license to use them for their intended purpose. You may not resell or distribute our work product to others without permission.

4.3 Client Materials

You retain ownership of materials you provide to us. By providing materials, you grant us a license to use them as necessary to provide legal services.

5. Payment Terms

5.1 Fees

Our fees for legal services are outlined in your retainer agreement. Fees are quoted in Canadian dollars (CAD). Most of our services operate on a fixed-fee basis, with the total amount specified upfront. Some matters may be billed hourly at rates disclosed in the retainer agreement.

5.2 Payment Timing

Unless otherwise specified, payment is due upon invoice presentation. We typically require a retainer payment before beginning work on your matter. Disbursements and third-party costs are billed separately and may require additional payment.

5.3 Late Payment

Overdue accounts may be subject to interest charges at the rate permitted by law. We reserve the right to suspend services if payment becomes significantly overdue, though we will provide notice before taking such action.

5.4 Taxes

All fees are subject to applicable taxes, including HST/GST as required by law.

6. Refund Policy

If you decide to terminate our services before matter completion, we will refund any unused portion of your retainer after deducting fees for work already performed and any non-recoverable disbursements. Refund requests should be submitted in writing to [email protected].

Fixed-fee services are generally non-refundable once work has commenced, as pricing is based on completing the entire matter. Refunds for fixed-fee matters will be considered on a case-by-case basis depending on how much work has been completed.

7. Disclaimers and Limitations

7.1 No Guarantee of Results

While we work diligently on your behalf, we cannot guarantee specific outcomes in legal matters. Results depend on many factors beyond our control, including court decisions, registry practices, and third-party actions.

7.2 Limitation of Liability

To the extent permitted by law and the Law Society of Ontario rules, our liability is limited to the fees paid for the specific service in question. We are not liable for indirect, consequential, or incidental damages arising from our services or website use.

7.3 Website Disclaimer

Our website is provided "as is" without warranties of any kind. While we strive to keep information current and accurate, we make no representations about the completeness or reliability of website content. Website information is not legal advice and should not be relied upon without consulting with us directly.

7.4 Force Majeure

We are not liable for delays or failures in performance resulting from circumstances beyond our reasonable control, including natural disasters, government actions, labor disputes, or technical failures.

8. Termination

8.1 Termination by Client

You may terminate our services at any time by providing written notice. You remain responsible for payment of fees for work performed up to the termination date and any non-recoverable disbursements.

8.2 Termination by Firm

We may withdraw from representation if you fail to cooperate, do not pay fees as agreed, if a conflict of interest arises, or for other good cause as permitted by Law Society rules. We will provide reasonable notice except where immediate withdrawal is required.

8.3 Effect of Termination

Upon termination, we will provide you with your file documents and any funds held in trust. Certain provisions of these terms survive termination, including confidentiality obligations and payment responsibilities.

9. Dispute Resolution

9.1 Informal Resolution

If a dispute arises, we encourage you to contact us first to attempt informal resolution. Many concerns can be addressed through direct communication.

9.2 Mediation

If informal resolution is unsuccessful, we may agree to participate in mediation before pursuing other remedies.

9.3 Governing Law

These terms are governed by the laws of Ontario and the federal laws of Canada applicable therein. Any legal proceedings will be subject to the jurisdiction of Ontario courts.

10. General Provisions

10.1 Entire Agreement

These Terms & Conditions, together with your retainer agreement and our Privacy Policy, constitute the entire agreement between you and Trillium regarding our services.

10.2 Severability

If any provision of these terms is found invalid or unenforceable, the remaining provisions continue in full effect.

10.3 Waiver

Our failure to enforce any provision does not constitute a waiver of our right to enforce it in the future.

10.4 Assignment

You may not assign your rights under these terms without our written consent. We may assign our rights with notice to you.
